# No-Resale License — Agent Setup Kits

**Licensor:** nicsins, kwizzlesurp, and Grokzilla (together, the "Owners") (x402-micro-pay.com, grokzilla.shop)  
**Product:** Digital “agent setup kits” (skills, MCP server templates, connector configs, agent templates, and similar packaged materials sold as a kit)  
**Effective date:** Date of purchase / download

This is a short license for kits sold on our marketplace. It is **not legal advice**. Nic may want a lawyer to review it before relying on it for sales at scale.

## 1. What you get

When you buy a kit, you get a **personal, non-exclusive, non-transferable** license to:

- Download and keep a copy for yourself
- Use the kit in your own projects and with your own agents
- Modify the kit for your own use
- Use it in **commercial** projects you run or build for yourself or your clients, as long as you do **not** pass the kit (or a substantial part of it) on as a kit or template

You do **not** get ownership of the kit. Copyright and other rights stay with nicsins, kwizzlesurp, and Grokzilla unless a particular file in the kit says otherwise (for example, third-party open-source parts keep their own licenses).

## 1A. Reservation of rights and ownership

All right, title, and interest in and to the kits, and in and to the services, tools, endpoints, MCP servers, and related materials offered through x402-micro-pay.com, grokzilla.shop, and affiliated properties (collectively, the "Products"), including all copyrights, trademarks, trade names, trade dress, and other intellectual property rights therein, are and shall remain the sole and exclusive property of nicsins, kwizzlesurp, and Grokzilla. All rights not expressly granted in this license are reserved.

No person or entity other than nicsins, kwizzlesurp, and Grokzilla may (a) claim, represent, portray, or hold itself out as an owner, licensor, author, or authorized seller of any Product; (b) sell, resell, rent, lease, sublicense, or otherwise commercially exploit any Product; or (c) solicit, charge, collect, or receive any fee, payment, or other consideration for access to or use of any Product, in each case without the prior express written consent of nicsins, kwizzlesurp, and Grokzilla. Any purported sale, transfer, or grant of rights in violation of this section is void.

## 2. What you may not do

You may **not**:

- Resell the kit
- Redistribute the kit (free or paid)
- Sublicense the kit to others as a kit
- Republish the kit, or **substantial parts** of it, as a kit, template, starter pack, skill pack, MCP pack, or similar product
- Share download links, archives, or unlock codes in a way that lets others obtain the kit without buying it
- Remove or obscure copyright or license notices in the kit

Using ideas and patterns you learned from the kit in your own original work is fine. Copying the kit’s files, structure, or substantial content into something you sell or give away as a competing kit or template is not.

## 3. No warranty

The kit is provided **“as is.”** We make no promises that it will meet your needs, be error-free, or work with every tool, model, or host. Use at your own risk.

## 4. Limited liability

To the fullest extent allowed by law, our total liability for any claim related to a kit is limited to **the amount you paid for that kit**. We are not liable for lost profits, lost data, business interruption, or other indirect or consequential damages.

## 5. Breach ends the license

If you break this license (especially the no-resale / no-redistribute rules), your license **ends immediately**. You must stop using the kit and destroy copies you control, except for any separate open-source components that have their own terms.

## 6. Refunds

**No refunds after download**, unless the kit is **broken** (for example: the download fails, the archive is corrupt, or required files are missing or unusable as shipped). Contact support through the shop site with proof of purchase; we will repair or replace when we can, or refund if we cannot.

## 7. Other terms

- One purchase = one licensee (you or your company), unless the product page says otherwise.
- Third-party code or assets bundled in a kit keep their own licenses; this license covers Grokzilla’s kit packaging and Grokzilla’s original materials.
- If a court finds one part of this license unenforceable, the rest still applies.
- Governing law: the laws of the jurisdiction where Grokzilla operates the shop, without regard to conflict-of-law rules, unless mandatory consumer law where you live says otherwise.

**Summary:** Buy it, use it, change it for your work — including paid client work. Do not sell or republish it (or big chunks of it) as a kit or template. No warranty. Liability capped at what you paid. License ends if you breach. No refund after download unless the kit is broken.
